Terms & Conditions

The Terms of this Agreement shall commence upon its execution by the parties and shall continue through the date indicated on the Master Order Summary.

All agency management fees will be billed at the end of each billing month.  Clients must remain in “good standing” (payments not extending beyond 90 days past due) with the Agency or the client acknowledges the Agency will place the account under and “Advertising Hold”.   This may delay campaigns until Client is back in “good standing” with the Agency.

The Client acknowledges and agrees that J Miller Marketing has no control over any third-party platforms, and therefore agrees to hold J Miller Marketing harmless of and from any failure to properly fulfill the terms of the media buy executed.  J Miller Marketing's sole liability, should an error occur on the part of the agency, may result in the agency refunding a portion of the agency's commission or management fee on the direct error only.  

The Client agrees that all artwork that created by the Agency is property of the Agency and cannot be used after the agency is terminated in any manner.

The Client agrees that all online strategies used by J Miller Marketing are their intellectual properties, and such, should the relationship between the Client and the Agency discontinue, J Miller Marketing will remove all intellectual property from the Client’s account.  J Miller Marketing will leave all online accounts for the Client in “startup” mode.

Subsequent to the initial term of this Agreement, the Client or Agency may terminate this Agreement by providing no less than thirty (30) days advance written notice of termination. Should the Client terminate this agreement prior to the agreed upon term, the Client will be responsible for the full management fee payment for the balance of month.  

Termination of this Agreement shall not affect the Client's responsibility for payment of any fees due prior to the effective date of termination. Upon cancellation J Miller Marketing will immediately reconcile any outstanding invoices via ACH or credit card on file.
